Terms & Conditions

Effective Year: 2026. These Terms govern access to and use of PickleSpotPH.

By accessing, registering, browsing, booking, listing, paying, uploading, communicating, or using PickleSpotPH, you agree to these Terms & Conditions. If you do not agree, do not use the platform.

1. Platform Role

PickleSpotPH is a technology platform and marketplace facilitator. It connects players, guests, organizers, and independently operated pickleball venues. PickleSpotPH does not own, operate, supervise, manage, inspect, control, or guarantee any third-party venue, facility, court, event, open play, organizer, coach, player, staff member, equipment, parking area, or on-site condition unless expressly stated in writing.

2. User Eligibility

Users must provide accurate information, comply with applicable laws, follow platform rules, respect venue rules, and use the platform responsibly. PickleSpotPH may approve, reject, suspend, restrict, or terminate accounts at its discretion to protect the platform and its users.

2.1 Multi-Role Accounts

A single verified PickleSpotPH account may hold both Player and Venue Owner access. Users may switch between approved roles without creating duplicate accounts. Each role remains subject to its own agreements, verification requirements, subscriptions, permissions, responsibilities, wallet records, and platform restrictions. Activity performed in Player mode is treated as player activity, while activity performed in Owner mode is treated as venue-owner activity.

3. Venue Owner Responsibility

Venue owners are independently responsible for their courts, schedules, pricing, availability, rules, staff, safety, permits, taxes, insurance, facilities, cancellations, refunds, disputes, injuries, damages, and on-site operations. PickleSpotPH is not liable for independent venue acts, omissions, misrepresentations, delays, closures, accidents, or failures.

4. Player Responsibility

Players are responsible for reviewing booking details, appearing on time, following venue rules, respecting other users, using facilities safely, protecting their belongings, and accepting the inherent risks of sports and physical activity.

5. Sports Risk and Waiver

Pickleball and related activities involve risk, including injury, collision, equipment accidents, falls, dehydration, weather exposure, medical incidents, or property loss. By using the platform or participating in activities, users voluntarily assume all risks and release PickleSpotPH, its founder, management, developers, staff, contractors, representatives, and affiliates from liability to the maximum extent allowed by law.

6. Bookings and Payments

Bookings are subject to availability, confirmation, venue rules, platform rules, payment status, and fraud checks. Payment processing may be handled by third-party providers. PickleSpotPH is not responsible for third-party gateway delays, failed transactions, account restrictions, chargebacks, bank processing times, or payout delays.

7. Open Play

Open Play activities may involve multiple players, organizers, and venues. Users join voluntarily and are responsible for their own conduct, health, skill level, belongings, schedule, and safety. PickleSpotPH does not guarantee player attendance, compatibility, skill balance, weather, court quality, or event outcome.

8. Account Security

Users are responsible for keeping login credentials secure. PickleSpotPH is not liable for losses, unauthorized use, or damages caused by shared passwords, compromised devices, inaccurate data, or user negligence.

9. Prohibited Conduct

  • Fraud, fake bookings, fake accounts, or payment abuse.
  • Harassment, threats, discrimination, or unsafe behavior.
  • Uploading false, illegal, or misleading information.
  • Bypassing platform fees, rules, verification, or security.
  • Copying, scraping, attacking, reverse engineering, or disrupting the platform.
  • Using PickleSpotPH for unlawful, harmful, or abusive purposes.

10. Intellectual Property

PickleSpotPH branding, designs, software, content, layout, features, name, platform materials, and related assets are owned by or licensed to PickleSpotPH. Users may not copy, misuse, reproduce, sell, modify, or exploit platform assets without written permission.

11. Limitation of Liability

To the maximum extent permitted by law, PickleSpotPH, its founder, management, developers, staff, contractors, representatives, affiliates, and partners shall not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost data, lost opportunity, personal injury, venue disputes, third-party acts, payment delays, platform interruptions, or events beyond reasonable control.

12. Indemnity

Users agree to defend, indemnify, and hold harmless PickleSpotPH, its founder, management, developers, staff, representatives, contractors, affiliates, and partners from claims, losses, liabilities, damages, fees, penalties, costs, and expenses arising from user conduct, venue operations, bookings, disputes, uploaded content, breach of terms, violation of laws, injury, property loss, fraud, or misuse of the platform.

13. Suspension and Enforcement

PickleSpotPH may suspend, restrict, remove, investigate, withhold access, delay payouts, reject bookings, cancel accounts, or take protective action when needed for safety, fraud prevention, legal compliance, user protection, platform integrity, or business continuity.

14. No Warranty

The platform is provided on an “as is” and “as available” basis. PickleSpotPH does not guarantee uninterrupted service, error-free operation, venue accuracy, booking availability, third-party performance, payment success, or that the platform will meet every user expectation.

15. Governing Law and Disputes

These Terms shall be interpreted according to applicable Philippine laws where relevant. Disputes should first be submitted to PickleSpotPH in writing for good-faith resolution. PickleSpotPH reserves all rights and remedies available under law and equity.

16. Updates

PickleSpotPH may update these Terms as the platform develops. Continued use of the platform means acceptance of the updated Terms.

Subscription, Billing, Cancellation, and No-Refund Terms

PickleSpotPH may offer owner subscriptions, trial access, launch access, activation access, recurring plans, marketplace add-ons, promotional pricing, upgraded plans, downgraded plans, and other paid digital platform access. Subscription and trial payments provide access to digital software services, including but not limited to venue management, booking tools, Open Play tools, wallet records, analytics, reporting, marketplace visibility, promotional tools, and related owner features.

All subscription fees, trial access fees, launch access fees, activation fees, marketplace add-on fees, platform fees, upgrade fees, recurring charges, and related digital service charges are final and non-refundable once platform access, trial access, subscription benefits, or digital services have been granted. Cancellation prevents future renewals and future billing only. Cancellation does not entitle the user or owner to a refund, partial refund, prorated refund, credit, reimbursement, or compensation for the current billing period, unused access, inactivity, change of mind, low booking volume, venue closure, business closure, failure to use the platform, or voluntary account termination.

Where recurring billing, card vaulting, tokenization, automatic renewal, or subscription payment functionality is enabled, the user or owner authorizes PickleSpotPH and its authorized payment processors to charge applicable renewal fees, upgrade fees, marketplace add-on fees, commissions, and related platform charges according to the selected plan until properly cancelled in accordance with platform policies.

Chargebacks, Payment Disputes, and Abuse

Users and owners agree not to initiate fraudulent chargebacks, payment reversals, false unauthorized transaction claims, invalid disputes, or payment avoidance attempts for valid bookings, subscriptions, platform fees, marketplace payments, commissions, or digital service access. Any chargeback, payment dispute, reversal, payment investigation, suspected fraud, or payment abuse may result in account review, feature restriction, payout hold, wallet hold, suspension, termination, collection efforts, legal enforcement, and recovery of losses, penalties, fees, processor charges, administrative costs, and legal expenses incurred by PickleSpotPH.

PickleSpotPH may provide agreement records, checkout records, KYC records, usage logs, payment references, IP-related records, activity history, booking details, wallet records, and other evidence to payment processors, banks, financial institutions, regulators, law enforcement, courts, dispute bodies, and legal representatives when necessary to protect the platform, contest invalid disputes, or comply with legal obligations.

Marketplace Services and Seller Responsibility

PickleSpotPH may provide marketplace functionality allowing owners, sellers, merchants, coaches, retailers, distributors, sponsors, brands, and other approved participants to list, promote, advertise, reserve, sell, purchase, distribute, or discover products and services. PickleSpotPH acts as a technology platform and marketplace facilitator unless expressly stated otherwise in writing.

Marketplace participants remain solely responsible for product accuracy, inventory management, pricing, fulfillment, shipping, delivery, taxation, licenses, warranties, customer support, product safety, intellectual property compliance, regulatory compliance, return handling, refund handling, replacement handling, and all merchant or seller obligations. PickleSpotPH does not manufacture, inspect, certify, guarantee, warehouse, ship, deliver, endorse, own, or assume responsibility for third-party products, inventory, seller conduct, merchant claims, delivery performance, warranty claims, product quality, counterfeit concerns, or seller-customer disputes except where required by law.

PickleSpotPH may reject, suspend, restrict, remove, edit, investigate, or terminate marketplace listings, merchant accounts, seller access, promotional campaigns, sponsorships, or marketplace visibility where fraud, counterfeit products, prohibited products, intellectual property concerns, safety risks, legal concerns, regulatory concerns, policy violations, or marketplace integrity risks are identified.

Wallets, Payouts, Holds, and Recovery Rights

Wallet balances, earnings, commissions, payout estimates, and transaction records shown inside PickleSpotPH may be subject to payment verification, processor settlement, refund review, chargeback review, dispute review, compliance review, fraud review, account review, reconciliation, reserve requirements, operational holds, or legal requirements. Displayed balances do not guarantee immediate payout eligibility.

PickleSpotPH may delay, reduce, reverse, adjust, hold, suspend, or recover wallet balances and payouts where payment disputes, refund requests, chargebacks, fraud concerns, compliance issues, processor investigations, accounting errors, platform abuse, negative balances, legal obligations, or operational risks are identified.

Intellectual Property, Platform Systems, and Anti-Copying Protection

All PickleSpotPH names, logos, branding, source code, database structures, layouts, workflows, booking systems, Open Play systems, marketplace systems, wallet systems, payout systems, subscription structures, payment flows, analytics frameworks, user interfaces, business processes, proprietary methods, content, documentation, software logic, and operational methodologies are protected proprietary assets of PickleSpotPH. No person or entity may copy, scrape, reproduce, clone, reverse engineer, adapt, extract, mirror, resell, republish, or use any part of PickleSpotPH to create a competing platform, confusingly similar service, commercial substitute, or unauthorized derivative product without written authorization.

Founder, Staff, Contractor, and Representative Protection

To the fullest extent permitted by law, no personal liability shall attach to the founder, owners, officers, managers, administrators, moderators, developers, contractors, employees, support personnel, accountants, consultants, representatives, affiliates, investors, successors, assigns, or service providers of PickleSpotPH for platform activities, user conduct, venue operations, marketplace transactions, bookings, payment disputes, injuries, damages, business losses, account restrictions, service interruptions, payout delays, chargebacks, or third-party actions.

Limitation of Liability

To the maximum extent permitted by applicable law, the total cumulative liability of PickleSpotPH and all persons or entities associated with its ownership, operation, management, development, administration, support, contractors, consultants, employees, officers, representatives, affiliates, investors, successors, assigns, and service providers shall not exceed the total fees actually paid by the claimant to PickleSpotPH during the twelve (12) months immediately preceding the event giving rise to the claim.

Governing Law and Venue

These Terms and any dispute relating to PickleSpotPH, bookings, subscriptions, marketplace services, wallet services, payments, payouts, Open Play, platform access, agreements, or transactions shall be governed by the laws of the Republic of the Philippines. The parties agree to attempt good-faith negotiation and, where appropriate, mediation before court proceedings, except where urgent protective, fraud-related, intellectual property-related, payment-related, security-related, or injunctive action is necessary. Where court action is required, venue shall be in the proper courts of Dumaguete City, Negros Oriental, Philippines, unless mandatory law requires otherwise.
